Results of the Re-convene Extraordinary Special Meeting of Minority Shareholders of "Public Power Corporation S.A."

ANNOUNCEMENT



PPC S.A. announces that the Re-convene Extraordinary Special Meeting of Minority Shareholders of the Company was held on Tuesday, February 14th 2012, in accordance with the Invitation that had been published on December 28th 2011, pursuant to the provisions of the Law and its Articles of Incorporation, and posted on the Company’s website (http://www.dei.gr).

The number of Shareholders lawfully present (in person or by proxy) at the Re-convene Extraordinary Special Meeting of Minority Shareholders was 271 representing 22,757,833 ordinary registered voting shares out of a total of 113,394,886 ordinary registered voting shares, that is, a quorum of 20.07%.

During the Meeting the Shareholders discussed and took decision on the only item on the Agenda, namely: “Election of a new Member-Representative of the Minority Shareholders on the Board of Directors of PPC S.A., pursuant to the Greek Law, article 20, par. 1 and 2, and articles 22 and 23 of the Articles of Incorporation of the Company, due to the resignation of their Representative on the Board”.

Out of a total of 22,757,833 lawfully represented votes, 11,952,138 voted in favour of the voting procedure (52.52%), 8,460,845 voted against (37.18%) and 2,344,850 voted absent (10.30%).

The decision was taken by absolute majority of the represented votes, that voted in favour of the voting procedure. Mr. Pavlos Thomoglou (Economist, Vice President of the Athens Chamber of Commerce and Industry) was elected as representative of the Minority Shareholders, with 11,934,036 shares-votes, i.e. 99.85% out of a total of 11,952,138 shares, that were in favour of the voting procedure.

The new member's term of office shall expire on December 17th 2012.
